All services are customized to meet the specific needs of our clients. Additional terms may apply to specific services.

2. Payment Terms

• Payments for services are processed securely through Razorpay.
• Full or partial payment may be required before work begins, as specified in your service agreement.
• Refunds will be processed in accordance with our Refund Policy (see Section 6).
• By providing payment details, you confirm that you are authorized to use the payment method provided.

3. User Responsibilities

• You agree to provide accurate and complete information necessary for us to deliver the Services.
• You will review and approve project deliverables in a timely manner.
• You are responsible for ensuring that any content you provide complies with applicable laws and does not infringe on third-party rights.

4. Intellectual Property

• All content, code, designs, and deliverables created by Smaart-Tech as part of the Services are the exclusive property of Smaart-Tech until payment is received in full.
• Upon full payment, ownership of deliverables transfers to the client, except for pre-existing intellectual property, which remains the property of Smaart-Tech.
• Smaart-Tech retains the right to showcase non-confidential deliverables in its portfolio.

5. Confidentiality

Both parties agree to keep confidential information shared during the course of the project private and secure. This does not apply to information that is publicly available or independently developed.

6. Refund Policy

• Non-Delivery of Services: If Smaart-Tech is unable to initiate or proceed with the agreed services due to unforeseen circumstances within our control, a full refund of any advance payments made will be issued.
• Refunds are not applicable in the following circumstances:

Refunds will not be issued for:

• Change in client requirements or scope of work after the agreement.
• Client’s lack of responsiveness or failure to provide necessary inputs or approvals for the project.
• Dissatisfaction with a service already completed as per agreed specifications.
• Disputes arising from third-party tools or integrations requested by the client.
• Milestone Disputes: Refunds will not be issued based on disagreements over milestones or completion of work, as all milestones will be considered completed when the deliverables are presented to the client as per the original agreement.

7. Limitation of Liability

Smaart-Tech is not liable for:

• Indirect, incidental, or consequential damages arising from your use of our Services.
• Delays caused by client actions or third-party dependencies.
• Loss of data due to client negligence or failure to provide necessary backups.

Our total liability is limited to the amount paid for the Services in question.

8. Termination

• Either party may terminate the agreement with 7 days' written notice.
• In the event of termination, the client will pay for any work completed up to the termination date.

9. Dispute Resolution

• Any disputes arising from these Terms will be resolved amicably through negotiation. If unresolved, disputes will be subject to the jurisdiction of courts located in Chennai, India.

10. Governing Law

These Terms are governed by the laws of India, without regard to its conflict of laws principles.

11. Changes to Terms

Smaart-Tech reserves the right to update these Terms at any time. Changes will be effective upon posting to our website. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
